Virdition’s Terms and Condition

Website Payment Terms

When you make payments through Virdition, you agree to the following terms (“Payment Terms”).

Making Purchases. When you subscribe to Virdition or confirm a transaction on the Site, you agree to be bound by and pay for your entire subscription and/or that transaction. Pay attention to the details of your subscription or the transaction, because your total price may include taxes, fees, and shipping costs, which you are responsible for paying. Do not commit to a subscription or transaction unless you are ready to pay, because all sales are final. If you order something that becomes unavailable before it can be provided to you, your only remedy is to receive a refund of your purchase price. You may be presented with additional terms related to a specific purchase before you confirm the transaction (such as shipping terms for tangible goods). Those additional terms will also govern that transaction. Even though we use terms like "purchase," "buy," "sell," and "order" to talk about transactions related to virtual gifts and credits, we don't transfer an ownership interest in those items. For example, the virtual gifts we make available through our gift shop are licensed to you, not sold.


Payment Sources. We want to make payments convenient, so we allow you to make payments using a number of different payment sources, like credit cards. When you provide a payment source to us, you confirm that you are permitted to use that payment source. You also authorize us to collect and use it, along with other related transaction information. However, we will only store such information in accordance with legal and regulatory requirements. When you make a payment, you authorize us (and our designated payment processor) to charge the full amount to the payment source you designate for the transaction. If you pay by credit card we may obtain a pre-approval from the issuer of the card for an amount up to the amount of the purchase. We will bill your card at the time of purchase or shortly thereafter. If you cancel a transaction before completion, that pre-approval may result in your funds not otherwise being immediately available. If your payment results in an overdraft or other fee, you alone are responsible for that fee.

Actions We May Take. As part of our effort to keep the Site safe, we may take certain actions to reduce liability for users and us. We may make any inquiries that we consider necessary, either directly or through third parties, concerning your identity and creditworthiness. We may cancel any transaction if we believe the transaction violates these Payment Terms or the Statement of Rights and Responsibilities , or we believe doing so may prevent financial loss. We may place a delay on a payment for a period of time, limit payment sources for a transaction, limit your ability to make a payment or deactivate your account if we believe doing so may prevent financial loss. We may contact your payment source issuer, law enforcement, or impacted third parties (including other users) and share details of any payments you are associated with if we believe doing so may prevent financial loss or a violation of law. We may cancel any credits transferred, assigned, or sold in violation of these Payments Terms or the Statement of Rights and Responsibilities . If you purchase advertising, and your payment method fails or your account is past due, we may take steps to collect past due amounts using other collection mechanisms. You agree to pay all expenses associated with such collection, including reasonable attorneys' fees. Interest will accrue on any past due amounts at the rate of the lesser of 1% per month or the lawful maximum.

Disputes and Reversals. If you believe that an unauthorized or otherwise problematic transaction has taken place under your account, you agree to notify us immediately, so that we may take action to prevent financial loss. To the fullest extent permitted by law, you waive all claims against us related to payments unless you submit the claim to us within 30 days after the charge. You are responsible for and agree to reimburse us for all reversals, charge-backs, claims, fees, fines, penalties and other liability incurred by us (including costs and related expenses) that were caused by or arising out of payments that you authorized or accepted. If you enter into a transaction with a third party and have a dispute over the goods or services you purchased we have no liability for such goods or services. Our only involvement with regard to such transaction is as a payment agent. We may intervene in disputes between users concerning payments but have no obligation to do so. Your only remedy for a technical failure or interruption of service is to request that your transaction be completed at a later time.

Special Provisions Applicable to Advertisers. When you purchase advertising on or through the Site, you agree to pay all amounts specified in the order, along with any applicable taxes. You are responsible for maintaining the security of your advertising account, and you understand that you will be charged for any orders placed on or through your advertising account. You can cancel an advertising order at any time by contacting us, but your advertisements may run for several days after you notify us, and you are still responsible for paying for those advertisements. Without limiting anything contained in these Payment Terms, your advertising bid constitutes your written authorization for us to obtain your personal and/or business credit report from a credit bureau. We may obtain your credit report when you place an order, or at any time thereafter. It is your responsibility to remit any taxes that apply to your transactions. You agree to indemnify and hold us harmless from and against any claim arising out of your failure to do so.

Notices and Amendments to These Payments Terms. We may provide notices to you by posting them on the Site, or by sending them to an email address or street address that you previously provided to us. Website and email notices shall be considered received by you within 24 hours of the time posted or sent; notices by mail shall be considered received within three business days of the time sent. Except as otherwise stated, you must send notices to us relating to payments and these Payment Terms by postal mail to:

The Payment Terms in place at the time you confirm a transaction will govern that transaction. We may change these Payment Terms, in whole or in part, even though the changes may affect accumulated credits. All amendments to these Payment Terms will be made pursuant to the Statement of Rights and Responsibilities.

Other All of the commitments you make in the Statement of Rights and Responsibilities apply to payments through Virdition. In the event of any conflict between these Payments Terms and the Statement of Rights and Responsibilities, the Payments Terms shall prevail. If you are under the age of 18, you may make payments only with the involvement of a parent or guardian. You should review these Payments Terms with a parent or guardian to make sure that you both understand them. These Payments Terms are between you and Virdition. References to “us,” “we,” and “our” mean Virdition. Some countries may restrict or prohibit your ability to make payments through Virdition. Nothing in these Payments Terms should be read to override or circumvent any such foreign laws.

This agreement was written in English (US). To the extent any translated version of this agreement conflicts with the English version, the English version controls.

Platform Policies

These Platform Policies ("Platform Policies") derive from the principles and guidelines of Virdition, and governs our relationship with industry professional users and others who interact with Virdition. These Platform Policies only apply to transactions and activities in which you engage and data is gathered on the Virdition website and Virdition email communications between Virdition members (collectively, the "Site") but does not apply to any other website or offline point of contact between Virdition or any other company and consumers. By using or accessing the Site as an industry professional, you agree to these Platform Policies, our Statement of Rights and Responsibilities , our Privacy Policy , our Terms of Service and our User Agreement .

  1. Features and Functionality
    1. You must not violate any law or the rights of any individual or entity, and must not expose Virdition or Virdition users to harm or legal liability as determined by us in our sole discretion.
    2. You must not include functionality that proxies, requests or collects Virdition usernames or passwords.
    3. You must not circumvent (or claim to circumvent) our intended limitations on core Virdition features and functionality.
    4. If you offer a service for a user that integrates user data into a physical product (such as a scrapbook or calendar), you must only create a physical product for that user's personal and non-commercial use.
    5. If you exceed, or plan to exceed, any of the following thresholds please contact us as you may be subject to additional terms: (>5M MAU) or (>100M API calls per day) or (>50M impressions per day).
    6. Your website must offer an explicit "Log Out" option that also logs the user out of Virdition.
    7. Special provisions for apps on Pages:
      1. Apps on Pages must not host media that plays automatically without a user's interaction.
      2. When a user visits your Page, if they have not given explicit permission by authorizing your Virdition app or directly providing information to your Page, you may only use information obtained from us and the user's interaction with your Page in connection with that Page. For example, although you may use aggregate analytics for your individual Page, you must not combine information from any other sources to customize the user's experience on your Page and may not use any information about the user's interaction with your Page in any other context (such as analytics or customization across other Pages or websites).
      3. You must not use or make derivative use of Virdition icons, or use terms for Virdition features and functionality, if such use could confuse users into thinking that the reference is to Virdition features or functionality.
  2. Storing and Using Data You Receive From Us
    1. You will only request the data you need to operate your application.
    2. You may cache data you receive through use of the Virdition API in order to improve your application’s user experience, but you should try to keep the data up to date. This permission does not give you any rights to such data.
    3. You will have a privacy policy that tells users what user data you are going to use and how you will use, display, share, or transfer that data and you will include your privacy policy URL in the Developer Application.
    4. A user's contacts' data can only be used in the context of the user's experience on your application.
    5. Subject to certain restrictions, including on transfer, users give you their basic account information when they connect with your application. For all other data obtained through use of the Virdition API, you must obtain explicit consent from the user who provided the data to us before using it for any purpose other than displaying it back to the user on your application.
    6. You will not directly or indirectly transfer any data you receive from us, including user data or Virdition User IDs, to (or use such data in connection with) any ad network, ad exchange, data broker, or other advertising or monetization related toolset, even if a user consents to such transfer or use. By indirectly we mean you cannot, for example, transfer data to a third party who then transfers the data to an ad network. By any data we mean all data obtained through use of the Virdition Platform (API, Social Plugins, etc.), including aggregate, anonymous or derivative data.
    7. You will not use Virdition User IDs for any purpose outside your application (e.g., your infrastructure, code, or services necessary to build and run your application). Virdition User IDs may be used with external services that you use to build and run your application, such as a web infrastructure service or a distributed computing platform, but only if those services are necessary to running your application and the service has a contractual obligation with you to keep Virdition User IDs confidential.
    8. If you need an anonymous unique identifier to share outside your application with third parties such as content partners, advertisers, or ad networks, you must use our mechanism. You must never share this anonymous unique identifier with a data broker, information broker, or any other service that we may define as such under our sole discretion.
    9. You will not sell any data. If you are acquired by or merge with a third party, you can continue to use user data within your application, but you cannot transfer data outside your application.
    10. If you stop using Platform or we disable your application, you must delete all data you have received through use of the Virdition API unless: (a) it is basic account information; or (b) you have received explicit consent from the user to retain their data.
    11. You cannot use a user’s contact list outside of your application, even if a user consents to such use, but you can use connections between users who have both connected to your application.
    12. You will delete all data you receive from us concerning a user if the user asks you to do so, and will provide an easily accessible mechanism for users to make such a request. We may require you to delete data you receive from the Virdition API if you violate our terms.
    13. You will not include data you receive from us concerning a user in any advertising creative, even if a user consents to such use.
    14. You must not give your secret key to another party, unless that party is an agent acting on your behalf as an operator of your application. You are responsible for all activities that occur under your account identifiers.
  3. Application Content.
    1. Prohibited Content. You are responsible for all content of and within your application, including advertisements and user-generated content. You must not promote, or provide content referencing, facilitating, containing or using, the following:
      1. Alcohol-related content (unless the appropriate Demographic Restrictions are used), or sale of tobacco products, ammunition and/or firearms;
      2. Content that infringes upon the rights of any third party, including intellectual property rights, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent;
      3. Gambling, including without limitation, any online casino, sports books, bingo or poker;
      4. Illegal activity and/or illegal contests, pyramid schemes, sweepstakes or chain letters; if you run, reference, or facilitate a legally permissible sweepstakes, contest, or other promotion you are subject to Virdition's Promotions Guidelines
      5. Content that is hateful, threatening, defamatory, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
    2. Advertisements and Cross-Promotions. You must not include advertisements or promotions, cross-promote other applications, or provide web search functionality in content distributed through Virdition social channels. You can only utilize advertising or similar monetization related products or services from companies that appear on this list within Apps on Virdition.com.
  4. Application Integration Points.
    1. You must not incentivize users to use (or gate content behind the use of) Virdition social channels, or imply that an incentive is directly tied to the use of our channels.
    2. You must not pre-fill any of the fields unless the user manually generated the content earlier in the workflow.
    3. If a user grants you a publishing permission, you must still obtain consent from the user before taking any action on the user's behalf, such as publishing content or creating an event.
    4. You must provide users with an easily identifiable "skip" option whenever you present users with an option to use a Virdition social channel.
    5. You must not provide users with the option to publish more than one Stream story at a time.
    6. Your advertisements must not include or be paired with any Platform integrations, including social plugins, without our written permission.
    7. Virdition messaging (i.e., email sent to an @virdition.co or @virdition.com address) is designed for communication between users, and not a channel for applications to communicate directly with users
  5. Enforcement. We can take enforcement action against you and any or all of your applications if we determine in our sole judgment that you or your application violates Virdition Platform Policies. Enforcement action is both automated and manual, and can include disabling your application, restricting you and your application's access to Platform functionality, terminating our agreements with you, or any other action as we in our sole discretion deem appropriate. Communication with developers takes place via an email sent from the Virdition.com domain to the Developer Contact email address registered to the application. To stay in touch, please ensure that your email address is current and that you do not filter out any such messages.
  6. Changes. We can change these Platform Policies at any time without prior notice as we deem necessary. Your continued use of Platform constitutes acceptance of those changes.
  7. Definitions
    1. "Application" means a canvas page application, Platform integration, or any other technical integration we have assigned an application identification number.
    2. "Virdition social channel" means the Application Info Section, Application tab, Feed, requests (including invites), inbox attachments, Chat, Bookmarks, or any other feature of a user profile or Virdition communication channel in which or through which an application can provide, display, or deliver content directed at, on behalf of, or by permission of a user.
    3. "Basic account information means name, email, gender, birthday, current city, and profile picture URL.
    4. "Virdition Platform Policies" are these Platform Policies, our Statement of Rights and Responsibilities, Privacy Policy , our Terms of Service and our User Agreement.
    5. "User data you receive from Virdition" means any data or content (including any images, text, or other information or materials) you receive from us, that was provided by users to us, or was associated by us with a particular user.
  8. Branding and Promotion Policy. You must follow the guidelines set forth in the Virdition Brand Resource and Permissions Center .
  9. Advertising Guidelines. You must follow the guidelines set forth in the Virdition Brand Resource and Permissions Center ADVERTISING GUIDELINES .
  10. Platform Terms for Advertising Providers. These terms govern, and must be signed by, all Advertising Providers who either operate, or provide services to those that operate, on the Virdition Platform. Please review all linked documents and the requirements for ad providers. At the bottom of this page you can download a copy of these terms that must be signed, filled out, and returned to Virdition. We maintain a list of companies that have agreed to these terms. Developers are prohibited from utilizing advertising or related services or products from companies that do not appear on the list.
    1. An “Advertising Provider” is an entity that provides any advertising or similar monetization related product, service or toolset on (or to developers on) the Virdition Platform.
    2. The Advertising Provider agrees to abide by the Virdition Statement of Rights and Responsibilities, Virdition Platform Policies and Advertising Guidelines.
    3. The Advertising Provider agrees to strictly comply with and honor prohibitions on developers sharing data with Advertising Providers by ensuring that it does not receive (directly or indirectly), possess, or use any data developers receive from Virdition. Prohibited data includes, but is not limited to, user data, Virdition User IDs, and all other data obtained through use of the Virdition API, including aggregate, anonymous or derivative data (but excludes the third_party_id where permitted by Virdition Platform Policies). The Advertising Provider is prohibited from receiving, possessing or using prohibited data even if a user consents. The provision in Virdition’s Platform Policies that permits developers to use Virdition User IDs with external services that developers use to build and run their applications does not apply to Advertising Providers.
    4. The Advertising Provider certifies that it does not use any data received (directly or indirectly) from Virdition. The Advertising Provider further certifies that it does not possess any data obtained from Virdition, including user data, Virdition User IDs or usernames, and agrees to prevent the receipt of such data in the future. If the Advertising Provider receives Virdition user data, including Virdition User IDs or usernames, the Advertising Provider will immediately notify Virdition and delete such data without disclosing it to any third parties.
    5. For the purpose of ensuring that Virdition is able to maintain a direct relationship with the Advertising Provider, the Advertising Provider agrees to provide to Virdition the names, email addresses, and business addresses of all principals. In addition, upon request, the Advertising Provider agrees to provide Virdition the names of and contact information for any employees and/or contractors and to specify those employees and/or contractors involved in designing, targeting, serving advertising related products/services, or otherwise providing any services covered by this Agreement. The Advertising Provider also agrees to share with Virdition, upon request, the contact information for developers or applications on the Virdition Platform for which the Advertising Provider provides services. Such contact information includes, if requested, information regarding the specific mechanism through which the Advertising Provider remits payment, to the extent Virdition deems it necessary to contact developers or applications on the Virdition Platform.
    6. If the Advertising Provider owns or operates an application on Virdition Platform, the Advertising Provider will not use any data it receives from Virdition for purposes of operating its application for any other purpose, including but not limited to serving ads or otherwise providing services covered by this agreement. For example, and without limitation, the Advertising Provider will not use any data it receives through operation of the application to tailor or target ads or other content it serves on other applications or websites. In addition, if the Advertising Provider provides customer support through an application, such application may not be the exclusive mechanism to obtain such customer support, nor can the Advertising Provider make customer support contingent upon a user sharing information beyond what is necessary to provide customer support.
    7. The Advertising Provider agrees to make all content (including advertisements) served on Virdition Platform using the Advertising Provider’s services available to Virdition. The Advertising Provider agrees to send a feed of all content from all geo-locations by creating and maintaining a tool that conforms to the specifications set forth here. The Advertising Provider agrees to disclose any efforts it makes to tailor different advertisements to different audiences to ensure that those efforts do not lead to reduced visibility by Virdition. The Advertising Provider agrees to make user complaints available to Virdition. The Advertising Provider acknowledges that any IP blocking of Virdition employees or any other related efforts to hide content is grounds for an immediate ban from operating on Virdition Platform.
    8. The Advertising Provider agrees to include a clear and conspicuous method for a user to make a complaint to the Advertising Provider about a specific advertisement in the application in all of its integrations into Virdition Platform canvas applications. The Advertising Provider agrees to deliver the information set forth here regarding the user feedback to Virdition.
    9. The Advertising Provider agrees to immediately respond to all requests from Virdition.
    10. If the Advertising Provider intends to associate itself in any manner with a company that Virdition has prohibited from operating on Virdition Platform or its current or former employees, the Advertising Provider will disclose this intent to Virdition in advance. Virdition reserves the right to limit or prohibit the Advertising Provider’s operation on Virdition Platform in light of any such association.
    11. Virdition reserves the right to audit the Advertising Provider for compliance with these terms.
    12. The Advertising Provider agrees that any violation of these terms may result in an immediate ban from the Virdition Platform and all Virdition websites, products and services. The Advertising Provider acknowledges and agrees that a breach or threatened breach by the Advertising Provider of these terms would cause irreparable injury, that money damages would be an inadequate remedy, and that Virdition shall be entitled to temporary and permanent injunctive relief, without the posting of any bond or other security, to restrain the Advertising Provider or anyone acting on its behalf, from such breach or threatened breach. Nothing herein shall be construed as preventing Virdition from pursuing any and all remedies available to it, including the recovery of money damages.
    13. Please note these terms are subject to change at any time and Virdition may waive any of these terms at its discretion.

Audition and Contest Terms

  1. If you enter a contest or sign up for an audition on or through Virdition, the following may apply:
    1. Your full name may be shared with the audition or contest sponsor or industry professional;
    2. Your email address may be shared with the audition or contest sponsor or industry professional for use only in connection with the contest or audition;
    3. You will be bound by the additional terms provided by the audition or contest sponsor or industry professional offering the contest or audition
    4. We may send you information about additional contests or auditions you may be interested in; and
    5. You agree to these Audition and Contest Terms.
  2. You release Virdition and any audition or contest sponsor from claims arising from any audition, contest or act or omission of the audition or contest sponsor in connection with the audition or contest.
  3. If you are under the age of 18, you will obtain permission from your parent or guardian before signing up for an audition or entering a contest.
  4. All auditions, contests and other interactions with Virdition are subject to Virdition’s Privacy Policy.
  5. The law applicable to the audition or contest shall be the law of the state of the audition or contest sponsor or industry professional.
  6. All contests are promotional in nature and are offered by Virdition, the contest sponsor or industry professional through Virdition as a service provider. The contest sponsor or industry professional is solely responsible for the contest and under no circumstances shall Virdition be held responsible or liable. The applicability and compliance with any relevant law relating to any contest is solely determined by and complied with by the contest sponsor or industry professional.

Virdition is not an employment agency, casting agent, manager, producer, production company, talent agency or agent, or teacher and does not procure, offer, promise or attempt to procure employment, jobs or booking for our clients. Virdition only provides internet exposure, networking resources and tools for you to match your talent with available listings of auditions and casting. The content provided by Virdition through this website is without warranties or representations of any kind, whether express or implied, including without limitation warranties of merchantability and fitness for a particular purpose. Please refer to the terms of service (Terms of Service ) and our User Agreement for more information.

All trademarks, logos, brands, listings, names, words or phrases of an individual, a company or an organization, including without limitation a studio, production company, network, broadcaster, licensed talent agency, labor union or organization defined in Labor Code § 1117, appearing on this website are the property of their respective owners. Nothing here is meant to imply or should be construed by anyone as an endorsement, sponsorship, approval or affiliation of that individual, company or organization with Virdition. Brand names are used for the purposes of showing potential casting opportunities and reflecting brands currently have or previously have had auditions, jobs or bookings posted on our website.

A physical or electronic signature of the copyright owner or authorized agent; Identification of the copyrighted work(s) claimed to have been infringed; Identification of the material that is claimed to be infringing or to be the subject of the infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; Information regarding how we may contact you (for example, mailing address, telephone number, E-mail address); A statement that the copyright owner or its authorized agent has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and A statement that the information in the notification is accurate, and made under penalty of perjury, and, if an agent is providing the notification, a statement that the agent is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
